ThreadOwl Terms of Service

Welcome to ThreadOwl! We are a for-profit service provider working in partnership with A New Path Inc., a nonprofit organization, to help turn clothing donations into financial support for charitable causes. By using our services, you agree to the following Terms of Service. Please read these terms carefully.

1. Introduction and Overview

ThreadOwl operates as a service provider on behalf of A New Path Inc. We accept clothing donations on their behalf, and all donations are the property of A New Path Inc. Our role is to sell what we can from these donations to generate funds for the nonprofit, following a predetermined payment structure. Any items that cannot be sold are used for charitable purposes in collaboration with A New Path Inc. or other local nonprofit organizations.

2. Donation Process

By donating clothing through ThreadOwl on behalf of A New Path Inc., you agree that:

• Your donations are the property of A New Path Inc., not ThreadOwl. We act solely as a service provider facilitating the donation process and sales on behalf of the nonprofit.
• ThreadOwl will assess the quality of donations and may decline items unsuitable for resale or charitable purposes. Any items declined remain the responsibility of the donor.
• Once a donation is accepted on behalf of A New Path Inc., the nonprofit retains full ownership and control of how the items are used, whether for resale or charitable distribution.

3. Sales and Distribution of Proceeds

ThreadOwl will attempt to sell items donated on behalf of A New Path Inc. through various sales channels.

Proceeds from the sale of donated items will be distributed to A New Path Inc. according to the payment structure disclosed on our website. ThreadOwl receives compensation as a service provider based on the partnership agreement.

If any donated items cannot be sold, they will be directed toward charitable causes in coordination with A New Path Inc. or transferred to other local nonprofits in need of clothing.

4. Nonprofit Partner Agreement

ThreadOwl serves as a service provider to A New Path Inc., which owns the donated clothing.

A New Path Inc. will receive payments generated from the sale of their donated items, as defined in the payment structure.

If A New Path Inc. reaches capacity for handling donations or has fulfilled their needs, ThreadOwl may distribute unsellable items to other local nonprofit organizations to help meet their clothing needs.

5. Unsellable Clothing and Charitable Use

If donated items cannot be sold, ThreadOwl will work with A New Path Inc. to ensure these items are repurposed for charitable activities, including distributing them directly to individuals or families in need.

In cases where A New Path Inc. has met its capacity for clothing distribution, ThreadOwl may, with their consent, redistribute items to other nonprofit organizations for charitable use.

6. For-Profit Service Provider

ThreadOwl is a for-profit business offering services to A New Path Inc. to facilitate the resale of donated clothing. While we work closely with nonprofits and support charitable causes, ThreadOwl itself is not a nonprofit entity. Our role is to provide services that help nonprofits generate revenue from clothing donations.

7. No Guarantees on Sales

ThreadOwl does not guarantee that any particular item donated on behalf of A New Path Inc. will be sold or that any specific proceeds will be generated. Sales success depends on factors such as market conditions, item quality, and demand.

8. Liability and Disclaimer

ThreadOwl will not be liable for any losses or damages arising from the donation or sale of clothing items.

ThreadOwl makes no guarantees, expressed or implied, regarding the success of sales or the amount of funds generated for A New Path Inc.

Donors acknowledge that once clothing is donated to A New Path Inc., ThreadOwl has no further obligation other than fulfilling its service role as outlined in these terms.

9. Changes to Terms

ThreadOwl reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the updated terms.
